These Terms of Service (“Terms”) govern your access to and use of the Mindcentral website, as well as your interactions with the services, content and materials made available through it.
By accessing or using our website, submitting an enquiry, registering for a programme or engaging our services, you agree to these Terms.

We reserve the right to accept or decline an enquiry or engagement at our discretion, subject to applicable law.
4. Fees and payment
Where fees apply to a Mindcentral programme or service, the applicable fees, payment schedule and payment terms will be communicated to you before the engagement is confirmed.
Unless otherwise stated:
Fees are quoted in the currency specified in the relevant proposal, quotation or registration
Any applicable taxes, duties or charges will be handled as stated in the relevant commercial agreement
Payments must be made according to the agreed payment schedule
You are responsible for providing accurate billing and payment information
Where an organisation engages Mindcentral on behalf of its employees, participants or representatives, the organisation remains responsible for the agreed fees unless otherwise stated in writing.
5. Cancellations, postponements and rescheduling
Cancellation, postponement, substitution and rescheduling terms may vary depending on the programme or engagement.
Where specific cancellation terms are provided in a proposal, quotation, registration form, confirmation email or contract, those terms will apply.
Mindcentral may occasionally need to reschedule, postpone, modify or cancel a programme due to circumstances including facilitator availability, insufficient participation, venue issues, operational requirements or circumstances outside our reasonable control.
Where this occurs, we will take reasonable steps to notify affected clients or participants and provide an appropriate alternative where reasonably possible.
Any refund or credit arrangements will be determined according to the terms applicable to the relevant programme or engagement and applicable law.
6. Participation in Mindcentral programmes
Participants are expected to behave professionally and respectfully when attending Mindcentral programmes, whether conducted in person or online.
We reserve the right to take reasonable action where a participant:
Disrupts a programme
Harasses or threatens another participant, facilitator or member of our team
Misuses programme materials
Records or distributes programme content without permission
Engages in conduct that may compromise the safety, confidentiality or learning experience of others
Where necessary, this may include removing a participant from a session or programme.
7. Programme materials and intellectual property
Unless otherwise stated, all content and materials created or provided by Mindcentral remain the intellectual property of Mindcentral, NT Learning Consultancy, our facilitators, licensors or relevant content owners.

Exercises and activities
Workbooks
Templates
Videos
Graphics
Assessments
Programme designs
Methodologies
Website copy and content

Branding and visual assets
Unless we provide written permission otherwise, materials supplied to participants are for their own personal or internal professional development use.
You may not reproduce, modify, republish, sell, license, distribute, upload, publicly share or commercially exploit our materials without prior written permission.
Participation in a Mindcentral programme does not transfer ownership of any intellectual property to you or your organisation.
8. Recording of programmes
You may not make audio, video, photographic or screen recordings of Mindcentral programmes, presentations or training materials unless permission has been given by Mindcentral and, where relevant, other participants.
Mindcentral may occasionally photograph or record programmes for documentation, learning or promotional purposes.
Where this is intended, we will take reasonable steps to inform participants and obtain consent where required.
9. Materials provided by clients
Where you provide Mindcentral with documents, branding, data, case studies, presentations or other materials for the purpose of delivering an engagement, you confirm that you have the necessary rights or permission to provide and use those materials.
You retain ownership of your existing materials unless otherwise agreed.
You grant Mindcentral permission to use those materials only to the extent reasonably necessary to deliver the agreed services, unless a separate agreement states otherwise.
10. Assessments and third-party tools
Some Mindcentral programmes may incorporate assessments, certifications, methodologies, platforms or materials developed or provided by third parties.
Where applicable, your use of those tools may also be subject to the third party's terms, licences or privacy practices.
Mindcentral does not claim ownership of third-party intellectual property and will identify third-party materials where reasonably appropriate.
11. No guarantee of specific outcomes
Mindcentral designs its programmes and services to support learning, development and organisational improvement.
However, individual and organisational outcomes depend on many factors outside our control, including participation, implementation, organisational circumstances and individual behaviour.
